Terms of use
Terms of use for Tactico Technologies products: Pathways, Vertral Spatial Engine, Momentum, and Tactico Account.
These Terms of Use (“Terms”) apply to your access to and use of the websites, applications, software, APIs, documentation, and other products and services provided by Tactico Technologies (“Tactico”, “we”, “our”, or “us”), including Pathways, Vertral Spatial Engine, Momentum, and Tactico Account (collectively, the “Services”). These Terms form an agreement between you and Tactico. By accessing or using the Services, you agree to these Terms. If you do not agree to these Terms, you must not access or use the Services.
Certain Services may be subject to additional terms, licenses, or in-product terms that you accept when using them (“Additional Terms”). Additional Terms form part of your agreement with us. If Additional Terms conflict with these Terms, the Additional Terms govern with respect to the relevant Service.
Our Privacy Policy explains how we collect and use personal data. Although it does not form part of these Terms, it is an important document that you should read.
1. Registration and access
Minimum age. You must be at least 13 years old, or the minimum age required in your jurisdiction to consent to use the Services, whichever is higher. If you are under 18, you must have the permission of your parent or legal guardian to use the Services.
Accounts. Some Services allow you to create or sign in to an account. You must provide accurate and complete information, keep your account credentials secure, and not share your account or make it available to anyone else. You are responsible for all activities that occur under your account. You must notify us promptly at contact@tacticoai.com if you become aware of any unauthorized use of your account.
Third-party sign-in. If you sign in to the Services using a third-party account, your use of that account is subject to the third party’s terms and policies. Unless we expressly agree otherwise in writing, creating or holding an account does not grant you any paid subscription, software license, or other entitlement.
Organizations. If you use the Services on behalf of an organization, you represent and warrant that you have the authority to accept these Terms on its behalf, and “you” includes that organization.
2. Using our Services
What you can do. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable right to access and use the Services for your personal or internal business purposes. In using the Services, you must comply with all applicable laws, these Terms, and any documentation or guidelines we make available to you.
Software. Some Services include software that you may download or install. Such software is licensed, not sold, to you. We may provide updates, which may be required to continue using the Services. Software may include open-source components that are governed by their own licenses, which prevail to the extent they conflict with these Terms.
What you cannot do. You may not use the Services for any illegal, harmful, or abusive activity. For example, you may not:
- use the Services in a way that infringes, misappropriates, or violates anyone’s rights;
- modify, copy, lease, sell, or distribute any of the Services, except as permitted by an applicable open-source license;
- attempt to or assist anyone to reverse engineer, decompile, or discover the source code or underlying components of the Services, except to the extent this restriction is prohibited by applicable law;
- interfere with or disrupt the Services, including by circumventing any rate limits, access controls, or security measures;
- scrape, crawl, or otherwise extract data from the Services in a manner that impairs their availability or violates applicable licenses;
- misrepresent your affiliation with us or imply that we endorse you or your products without our written permission; or
- upload or process any content that you do not have the right to use.
3. Your content
Your content. You may provide content to the Services, including text, files, images, and instructions (“Your Content”). As between you and Tactico, you retain all ownership rights in Your Content. You are responsible for Your Content and represent and warrant that you have all rights, licenses, and permissions needed to provide it to the Services.
Our use of Your Content. To the extent Your Content is transmitted to or stored by us, you grant us a worldwide, non-exclusive, royalty-free license to host, store, process, and display it solely as necessary to provide, maintain, and secure the Services, comply with applicable law, and enforce these Terms.
Outputs. The Services may generate or return information, including routes, maps, summaries, code, and other content (“Outputs”). Outputs may be inaccurate, incomplete, or unsuitable for your purposes, and may not reflect real-world conditions. You must evaluate Outputs for accuracy and suitability, including through human review where appropriate, before using, sharing, or relying on them.
4. Product-specific terms
Pathways and Vertral Spatial Engine. Routes, maps, and other spatial information provided through Pathways or Vertral Spatial Engine are provided for general informational purposes only. They may be incomplete or inaccurate and do not represent that any route is safe, accessible, open, lit, sheltered, or passable. You are solely responsible for your decisions and conduct while travelling and for complying with applicable laws and on-site instructions.
Momentum. Momentum helps you organize and continue work performed with third-party AI agents and tools (“Agent Tools”). Any action taken by an Agent Tool, including executing commands and changing files, systems, repositories, or accounts, is an “Agentic Action”. You are solely responsible for the instructions you give, the permissions you grant to Agent Tools, and every Agentic Action taken under those permissions. You must review Outputs and Agentic Actions before relying on them. Resuming work restores information saved by Momentum; it does not restore the state of any external system or guarantee that any action will be performed only once.
Momentum Enterprise and Momentum Cloud. Use of Momentum Enterprise and Momentum Cloud is subject to a separate written agreement between Tactico and the customer. If that agreement conflicts with these Terms, that agreement controls.
Developer tools. If you use our APIs, command-line tools, MCP tools, or sample code, you must comply with the applicable documentation and usage limits, keep any credentials confidential, and remain responsible for the applications you build and their use.
5. Third-party services and data
The Services may interoperate with or include third-party software, products, services, and data, including Agent Tools, identity providers, model providers, and open map data (“Third-Party Services”). Third-Party Services are subject to their own terms and policies, and we are not responsible for them. Your use of Third-Party Services is at your own risk.
Map and pedestrian network data may include material licensed from third parties, including the Lands Department of the Government of the Hong Kong SAR and OpenStreetMap contributors. Attribution and license information is available on the Pathways licenses page. You must comply with those licenses when reusing such data.
6. Our intellectual property rights
We and our licensors own all rights, title, and interest in and to the Services, including our names, logos, and trademarks, subject to any applicable open-source licenses. You may not use our names or logos without our prior written permission. We appreciate your feedback, and you agree that we may use it without restriction or compensation to you.

7. Pre-release features
We may offer features or Services identified as alpha, beta, preview, early access, proof-of-concept, or experimental (“Pre-Release Features”). Pre-Release Features are provided “as is”, may contain errors, and may be changed, suspended, or discontinued at any time without notice.
8. Termination and suspension
You may stop using the Services at any time and may request deletion of your account by contacting us at contact@tacticoai.com. We may suspend or terminate your access to the Services, or delete your account, if we reasonably determine that you have breached these Terms, that we must do so to comply with law, or that your use of the Services could cause risk or harm to Tactico, our users, or anyone else. Sections 3 through 6 and 9 through 13 survive any termination of these Terms.
9. Disclaimer of warranties
TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICES, OUTPUTS, AND AGENTIC ACTIONS ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, AND YOUR USE OF THE SERVICES IS AT YOUR OWN RISK. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES, OUTPUTS, AGENTIC ACTIONS, OUR INTELLECTUAL PROPERTY, AND ANY OTHER INFORMATION AVAILABLE ON OR THROUGH THE SERVICES ARE PROVIDED WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, SATISFACTORY QUALITY, ACCURACY, RELIABILITY, AVAILABILITY, ABILITY TO MEET YOUR NEEDS, QUIET ENJOYMENT, AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
TACTICO AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, REPRESENTATIVES, CONTRIBUTORS, AFFILIATES, PARTNERS, AND LICENSORS (THE “TACTICO PARTIES”) DO NOT WARRANT THAT THE FUNCTIONS OR FEATURES OF THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, THAT ANY ROUTE IS SAFE, ACCESSIBLE, OR PASSABLE, OR THAT ANY CONTENT WILL NOT BE LOST OR ALTERED.
YOU ACCEPT AND AGREE THAT ANY USE OF CONTENT, MATERIALS, OUTPUTS, AGENTIC ACTIONS, OR YOUR CONTENT FROM OR THROUGH THE SERVICES IS AT YOUR SOLE RISK, AND THAT YOU WILL NOT RELY ON OUTPUTS AS THE SOLE SOURCE OF TRUTH OR FACTUAL INFORMATION, OR AS A SUBSTITUTE FOR PROFESSIONAL ADVICE, INCLUDING LEGAL, MEDICAL, FINANCIAL, OR SAFETY ADVICE. YOU ARE SOLELY RESPONSIBLE FOR THE PERMISSIONS YOU GRANT TO AGENT TOOLS AND FOR ANY AGENTIC ACTION TAKEN UNDER THOSE PERMISSIONS, INCLUDING ANY RESULTING LOSS OR CORRUPTION OF DATA.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.
10. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, NONE OF THE TACTICO PARTIES WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, DATA, OR USE, OR FOR THE COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR RELATING TO THESE TERMS, THE SERVICES, OUTPUTS, OR AGENTIC ACTIONS, WHETHER BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, AND EVEN IF A TACTICO PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE FULLEST EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF THE TACTICO PARTIES ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE RELEVANT SERVICE IN THE THREE MONTHS BEFORE THE CLAIM AROSE (IF ANY) AND (B) HKD 100.
NOTHING IN THESE TERMS EXCLUDES OR LIMITS ANY LIABILITY FOR DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE, FOR FRAUD OR FRAUDULENT MISREPRESENTATION, OR ANY OTHER LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW, INCLUDING UNDER THE CONTROL OF EXEMPTION CLAUSES ORDINANCE (CAP. 71).
11. Indemnity
If you are a business or organization, to the extent permitted by law, you will indemnify and hold harmless Tactico and its contributors from and against any costs, losses, liabilities, and expenses, including reasonable legal fees, arising from third-party claims relating to your use of the Services or your breach of these Terms.
12. Governing law and jurisdiction
These Terms are governed by the laws of the Hong Kong Special Administrative Region, without regard to conflict-of-law rules. The courts of Hong Kong have exclusive jurisdiction over any dispute arising from or relating to these Terms or the Services, subject to any mandatory consumer protections that apply to you.
13. General terms
Changes. We may update these Terms from time to time. If we make material changes, we will update the “Last updated” date on this page and, where appropriate, provide additional notice. Your continued use of the Services after changes take effect constitutes your acceptance of the updated Terms.
Assignment. You may not assign or transfer any rights or obligations under these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets, or to any affiliate.
Severability and waiver. If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any provision is not a waiver of our right to do so later.
Entire agreement. These Terms, together with any Additional Terms, constitute the entire agreement between you and Tactico regarding the Services.
Language. These Terms may be provided in more than one language. If there is any conflict or inconsistency between language versions, the English version shall prevail.
